PenSprite Software License Agreement

This License Agreement ("Agreement") is a legal agreement between you ("User" or "Licensee") and Tucker Digital Technology (Ningxia) Co., Ltd. ("Company" or "Licensor"). By downloading, installing, or using PenSprite software ("Software"), you agree to be bound by the terms of this Agreement.

1. License Grant

1.1 Free Version License

The Company grants you a non-exclusive, non-transferable, royalty-free license to use the Free version of the Software for personal, non-commercial purposes. The Free version is limited to 10 content blocks and 3 projects.

1.2 Paid Version License

Upon payment of the applicable license fee, the Company grants you a non-exclusive, non-transferable license to use the Paid version of the Software. The scope of use depends on the purchased plan (Basic, Pro, or All-Access).

2. Permitted Uses

  • Install and use the Software on multiple devices for personal use
  • Create, edit, and export your own content without limitations
  • Use the Software for commercial purposes (subject to plan limits)
  • Make backup copies of the Software installation files

3. Restrictions

  • You may not reverse engineer, decompile, or disassemble the Software
  • You may not modify, adapt, or create derivative works based on the Software
  • You may not remove or alter any proprietary notices on the Software
  • You may not distribute, sell, or lease the Software to third parties
  • You may not use the Software for illegal purposes or in violation of any laws

4. Content Ownership

You retain full ownership of all content you create using the Software. The Company claims no ownership interest in your content, except for the limited rights necessary to provide the Services (such as cloud storage and synchronization).

5. AI Model Usage

The Software integrates with third-party AI services (e.g., OpenAI, Anthropic). Your use of these services is subject to their respective terms of service. The Company is not responsible for the output generated by AI models.

6. Payment and Subscription

6.1 Subscription Terms

Paid subscriptions are billed monthly or yearly, depending on your selected plan. Your subscription will continue until cancelled.

6.2 Refund Policy

Due to the digital nature of the Software, we generally do not offer refunds. However, you may request a refund within 7 days of purchase if the Software fails to function as described.

7. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any terms. Upon termination, you must cease all use of the Software and delete all copies.

8. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

9. Limitation of Liability

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be resolved through friendly negotiation; if negotiation fails, they shall be submitted to the people's court where the Company is located.
